What information must be declared on the Beneficial Ownership Register?


According to Regulation 4(1)(a) of the Companies Act Regulations, 2008, the following information must be declared on the Beneficial Ownership Register for each person holding a beneficial interest equal to or in excess of 5% of the securities in a particular class issued by the company:

For a natural person:

  • Full name
  • Date of birth
  • South African identity number (if South African)
  • Passport number, passport country of issue and country of birth (if non-South African)

For a juristic person:

  • Name
  • Registration number
  • Registered office address
  • Country where registered (if not South Africa)

For each person:

  • Business address and postal address
  • Email address (if available)
  • Nature and extent of the beneficial interest held

The company must ensure this register is kept up to date, recording any changes in the beneficial ownership.
