CIPC require the following documentation to be submitted with the application to [email protected]:  

  1. CoR44 applications duly completed and signed by a Director/Company Secretary.
  2. In the event that the form is not signed by a Director/Company Secretary, then a power of attorney by the board giving permission to a 3rd party to sign on behalf of the Company must be provided.
  3. Resolution from the company reflecting what the changes are, as most of the forms are not completed vaguely making it difficult to understand what the notice for change (CoR44) if for, e.g. appointment/resignation or rotation of auditors, appointment or resignation of the Company Secretary.
  4. When it comes to Auditors, we have received complaints from some auditors who claim they are not aware of the companies they are register for, therefore when an auditor is appointed a letter from the auditor confirming appointment with the auditors practice number must be filed together with the CoR4

Relevance to Auditors, Independent Reviewers & Accountants:

  • The Companies Act is yet another piece of legislation that your clients must comply with, and which you must assess compliance with.  If they don’t comply with the relevant laws and regulations, you have certain reporting obligations in terms of NOCLAR (NOn-Compliance with Laws And Regulations) – this could include reporting to management, qualifying your audit opinion, reporting a Reportable Irregularity, etc.
  • As an auditor, you also need to monitor your client’s compliance with the Companies Act and all relevant notices/enforcements/practice notes issued by CIPC as the regulator.
  • Where you perform these compliance tasks on behalf of your client, you need to ensure that you comply with all relevant notices/enforcements/practice notes issued by CIPC as the regulator.

  • An entity (company or close corporation) has a duty to comply with the Companies Act, and all relevant notices/enforcements/practice notes issued by CIPC as the regulator.
