CIPC: 647 835 companies and close corporations deregistered

Following Notice 19 of 2023 to customers, CIPC deregistered six hundred and forty seven thousand, eight hundred and fifty three (647 853) of all companies and close corporations which have been in Annual Return Deregistration process for more than three (3) years and for which the notification process as per Companies Regulation 40 have been completed. The systematic final deregistration occurred on 30 March 2023.
E-mail notifications of such final deregistration will commence during the first week of April 2023, due to the CIPC annual financial year shutdown. Companies and Close corporations which has been finally deregistered may apply for re-instatement. Relevance to Auditors, Independent Reviewers & Accountants:
- The Companies Act is yet another piece of legislation that your clients must comply with, and which you must assess compliance with. If they don’t comply with the relevant laws and regulations, you have certain reporting obligations in terms of NOCLAR (NOn-Compliance with Laws And Regulations) – this could include reporting to management, qualifying your audit opinion, reporting a Reportable Irregularity, etc.
- As an auditor, independent reviewer and accountant, you also need to monitor your client’s compliance with the Companies Act and all relevant notices/enforcements/practice notes/customer letters issued by CIPC as the regulator.
